This paper examines the incentive effect of personal legal liability for a CEO. Exploiting unique Chinese law that representative firm bears firm's illegal activities, we document decrease in earnings management when CEO is also representative. Additional analysis shows impact CEO's on more salient externally recruited, lacks family background, and faces enormous litigation risk. This paper investigates the impact of outsourcing on variability corporate performance, based manually collected data Chinese companies from 2012 to 2020. The results show that significantly reduces and negative correlation between performance is more significant in with high quality information disclosure, low degree asset specificity, production efficiency. It shows an effective management decision disperse risks.
