This paper presents the results of a cooperative inquiry study aimed at developing prototype enhanced eBook for leisure reading. Together with group 9 to 11 years old children we explored various design ideas and, starting from these ideas, developed and elaborated shortlist recommendations. We build a model in which corporate governance allows for the adoption of an institution acting as mechanism to control agency problems. Our predicts that incentive adopt such is decreasing ownership concentration and increasing free cash flow.
